1. Acceptance of Terms
These Terms of Service (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Vision Labs, the operator of Hello Conversions (“Company,” “we,” “us,” or “our”). They govern your access to and use of the Hello Conversions platform and all related services available at helloconversions.com (the “Service”).
By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.
2. Description of Service
Hello Conversions is a real-time revenue analytics and conversion intelligence platform. The Service provides:
- Unified dashboard reporting by connecting to platforms such as GoHighLevel and payment processors
- Real-time KPI tracking, customer acquisition metrics, and revenue classification analytics
- Conversion data transmission to advertising platforms (such as Google Ads and Meta Ads) on your behalf, as a core service function
- Customer journey intelligence with historical data analysis (up to an 18-month lookback window)
- Data pipeline processing via our technology infrastructure, including Tinybird and ClickHouse environments
- Additional dashboard modules and analytics features as released over time
We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable prior notice.
3. Accounts and Eligibility
Eligibility:
You must be at least 18 years old and legally capable of entering into binding contracts. The Service is intended for business use. By using the Service, you represent that you are doing so on behalf of a business entity or in a professional capacity.
Account registration:
- You must provide accurate, current, and complete registration information and keep it up to date
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at [email protected] of any unauthorized access or suspected security breach
- You may not share your account credentials with others or create multiple accounts to circumvent plan limitations
Team members:
Account administrators may invite team members to their workspace. You are responsible for ensuring all team members comply with these Terms. A team member’s material violation of these Terms may result in suspension of your entire workspace.
4. Subscriptions and Payment
Subscription plans:
Hello Conversions offers subscription plans billed on a recurring basis. Current pricing and plan details are available at helloconversions.com/pricing and may be updated from time to time.
Billing:
- Subscriptions are billed in advance for each billing period (monthly or annual, as selected at signup)
- Payment is due on the billing date associated with your plan
- We use a third-party payment processor; by providing payment information you agree to their applicable terms
- All fees are exclusive of applicable taxes, for which you are solely responsible
Cancellation and refunds:
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period; you retain access until that date
- We do not provide refunds for partial billing periods except as required by applicable law or at our sole discretion
- Annual subscriptions cancelled within 7 days of initial purchase may be eligible for a full refund; contact [email protected] to request one
Late payment:
If payment fails, we will notify you and provide a 7-day grace period. Continued non-payment may result in suspension or termination of your account and deletion of associated data in accordance with our Privacy Policy.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in violation of any applicable local, state, national, or international law or regulation
- Transmit any data you do not have the right to process or share
- Probe, scan, or test the vulnerability of our systems or breach any security or authentication measures
- Reverse engineer, decompile, or attempt to derive the source code of the Service
- Use automated scripts, bots, or scrapers to access the Service in unauthorized ways
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Process, store, or transmit content that is unlawful, harmful, fraudulent, or violates any third party’s rights
- Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of your account and referral to law enforcement where applicable.
6. Your Data and Content
Ownership:
You retain all ownership rights to your data and any content you submit to the Service (“Customer Data”). By using the Service, you grant Vision Labs a limited, non-exclusive, worldwide license to access, process, store, and transmit your Customer Data solely as necessary to provide and improve the Service for you.
Your responsibilities:
- You are solely responsible for the accuracy, quality, integrity, and legality of your Customer Data
- You represent that you have obtained all rights, consents, and permissions necessary to submit Customer Data and to authorize us to process and transmit it on your behalf
- You are responsible for obtaining appropriate consent from any end-users whose data flows through our platform
- You are responsible for ensuring that your use of the Service to transmit data to advertising platforms complies with the terms and policies of those platforms
Data processing:
To the extent applicable data protection laws treat Vision Labs as a data processor acting on your behalf, we will process Customer Data only in accordance with your instructions. Contact [email protected] to request a Data Processing Agreement (DPA).
7. Third-Party Integrations and Advertising Platforms
The Service connects to third-party platforms including GoHighLevel, payment processors, and advertising platforms such as Google Ads and Meta Ads.
When you enable an integration or authorize data transmission to an advertising platform:
- You authorize Hello Conversions to access, retrieve, and transmit data on your behalf to the designated platform
- You represent that you have the right to grant such access and that doing so does not violate the third party’s terms of service or applicable law
- The third-party platform’s own terms and privacy policies govern your relationship with that platform; Vision Labs is not responsible for the practices of third-party services
- We are not liable for disruptions, API changes, or discontinuation of third-party services that may affect Service functionality
- You are solely responsible for ensuring that data transmitted to advertising platforms complies with all applicable advertising laws, platform policies, and user consent requirements
8. Intellectual Property
Our property:
The Service, including all software, algorithms, dashboard designs, data pipelines, and aggregated or anonymized insights, is owned by Vision Labs and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or service marks.
License to use the Service:
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
Feedback:
If you submit feedback, suggestions, or ideas about the Service, you grant Vision Labs a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or obligation to you.
9. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Each party agrees to: (a) keep such information confidential using at least the same degree of care as it uses for its own confidential information, and no less than reasonable care; (b) use such information only for purposes of the relationship established by these Terms; and (c) not disclose such information to third parties without prior written consent, except to employees or contractors who need to know and are bound by equivalent confidentiality obligations.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
The analytics, metrics, and insights provided by Hello Conversions are for informational and business intelligence purposes only and do not constitute financial, legal, or business advice. You are solely responsible for decisions made based on Service outputs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISION LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to Hello Conversions in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Vision Labs and Hello Conversions, and their respective officers, directors, employees, contractors, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your violation of these Terms; (b) your Customer Data or your use of the Service; (c) your violation of any third-party rights; (d) your violation of any applicable law or regulation; or (e) data you authorize us to transmit to advertising platforms on your behalf.
13. Termination
By you:
You may cancel your subscription and close your account at any time through your account settings or by contacting [email protected].
By Vision Labs:
We may suspend or terminate your account immediately and without prior notice if:
- You materially breach these Terms and fail to cure such breach within 10 days of written notice
- You violate Section 5 (Acceptable Use)
- We are required to do so by law or a regulatory authority
- Continued operation of your account poses a security or legal risk to the Service or other users
Effect of termination:
Upon termination, your license to use the Service ends immediately. We will make your Customer Data available for export for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy. Sections 8, 10, 11, 12, and 14 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of [YOUR STATE], without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA). Either party may seek injunctive relief in any court of competent jurisdiction for matters relating to intellectual property or unauthorized access to the Service.
Class action waiver: To the maximum extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Vision Labs or Hello Conversions.
15. Changes to Terms
When we make material changes to these Terms, we will update the “Last Updated” date at the top of this page and notify active users via email or in-app notification at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes your acceptance. If you do not agree, you must stop using the Service before the new Terms take effect.
